Excerpt from Handbook of the Law of Sales IN this edition a good deal of new matter has been added, many changes in arrangement have been made, and chapters 1, 3, 4, 7, and 10 have been partly rewritten. Many cases re ported since the first edition, especially on mooted points, have been cited in the notes. It has been deemed advisable to print in an appendix the proposed Sales Act, recommended by the Commissioners on Uniform State Laws, which has already been enacted in sev eral states, and which bids fair, like the Negotiable Instru ments Law, to be adopted generally. The act, like the English Sale of Goods Act, on which it is based, is in the main declara tory of the law, and is valuable as furnishing statements of rules which, for the most part, are of universal application. To a great extent, the statement of rules and principles in the black-letter text has been made to conform to the language of the Sales Act. References to the appropriate sections are made in the notes, care being taken to point out changes proposed, or efiected in states which have adopted the act. For purposes of comparison, the English Sale of Goods Act also has been printed in the appendix, and frequent references to it are made in the notes. F. B. T. Excerpt from The Law of Sales I conceive law to be the aggregation of rules which courts of justice feel themselves more or less obligated to follow in deciding controversies. To some extent these rules are formulated and declared by legislative author ity. Most of them, however, have been evolved by judges themselves. These latter rules are not always easy to formulate; if they were, there would be no need for real text-books. Even the precise utterances of various judges can not always be accepted as rules. I believe that no judge has power, either practically or theoretically, to bind other judges by any declaration of rule or command, but that the only obligation felt by courts is the obligation to con form to prior judicial action. It is therefore prior judi cial conduct under given circumstances which determines the action of later judges, rather than prior declarations as to what such conduct ought to be. Excerpt from Illustrative Cases on the Law of Sales If the H. C. Keeble Company, instead of having the cotton stored in the warehouse of Phillips 81 Parish, had retained possession of it until, without any authority or license from the appellee, the cotton itself was delivered to the bank in pledge to secure the payment of the note of the H. C. Keeble Company, it is plain that the bank would not have acquired any greater title to the property than that company had to confer, and the appellee would have been entitled to recover the cotton from the bank, or to hold the bank liable for its conversion. But it is claimed that the factor, having stored the cotton in a warehouse, and obtained warehouse receipts therefor to itself, was enabled, by the transfer Of those receipts, to confer upon the bank a claim to the cotton which must prevail against the title of the true owner. Section 1178 Of the Code is relied upon as giving this effect to the transfer Of warehouse receipts by the persons to whom they are issued. The clause of that section upon which this claim is based is in the following words: The receipt of a ware houseman, on which the words 'not negotiable' are not plainly writ ten or stamped, may be transferred by the indorsement thereof, and any person to whom the same is transferred must be deemed and taken to be the owner of the things or property therein specified, so far as to give validity to any pledge, lien, or transfer made or created by such person. Plan and Scope of the Work - Sundry Definitions. - We propose, in the following pages, to direct oar attention, and that of our readers, to void execution and judicial sales, and the legal and equitable rights of purchasers thereat. Having considered these questions, we shall conclude with inquiries concerning the constitutionality of those curative acts, and that class of special legislation, attempting either to validate invalid judicial sales, or to authorize involuntary sales, in the absence of any judicial proceedings whatever. In the terms "judicial and execution sales," as we here use them, are embraced all sales made in pursuance of the orders, judgments or decrees of courts, or to obtain satisfaction of such orders, judgments or decrees. Precisely what sales can accurately be denominated "judicial" is not very well settled. Of course they must be the result of judicial proceedings, and the order, decree or judgment on which they are based must direct the sale of the property sold.
