Master's Thesis from the year 2022 in the subject Economics - Finance, grade: 1.0, University of Passau, language: English, abstract: In this paper, market-based and firm-specific determinants are introduced to measure their association with abnormal returns around the announcement of a share buyback conducted through tender and open market offers in India. To test the valuation effect of market-based variables: uncertainty, which is determined by implied market volatility and economic policy uncertainty. Liquidity risk, which is investigated through two illiquidity proxies and the impact of the monetary environment, represented by the three-month Mumbai Interbank Offer Rate (MIBOR) and the gold price are included. In addition, the main firm-specific hypotheses are tested to identify potential key drivers. The valuation effects examined cover the period from April 1, 2011, to March 31, 2021, during which a total of 359 share repurchases were made, 231 through tender offer and the remaining 128 through the open market. Beside separating the two buyback methods, I examine different categories in addition to the full sample to determine whether market participants' reaction to share repurchase announcements leads to abnormal returns. The rest of the paper is organized as follows. Next section provides an overview about the regulatory framework of share buyback in India. Section 3 states a brief overview about the share repurchase literature with reference to uncertainty and liquidity in global context and firm-specific literature in Indian context. Then the hypotheses are stated. Sections 5 and 6 present the methodology and data, and section 7 presents the empirical results. Section 8 provides concluding remarks.

In this paper, we examine the information content (firm specific) and information transfer (other firm) effects of share buy back announcements using a unique Australian data where the stated reason for the buy back is undervaluation of the firm's stock price. Consistent with the US studies, we find that such share buy back announcements signal positive information about the announcers and their rivals, suggesting that both the announcing firms and their industry rivals were previously undervalued by the market. The results show that while shareholders of firms announcing share buy backs that are motivated by undervaluation of the share price earned statistically significant abnormal returns of 1.25% on the announcement day, the shareholders of rival firms earned significant abnormal returns of 0.39% on day +2. The market reaction of industry counterparts thus appears to occur with a lag. For the three days surrounding the announcement, announcing firms' shareholders earned a statistically significant abnormal return of 4.30%, while rival firms' shareholders earned abnormal returns of 1.39%. Consistent with our conjecture, we find that the magnitude of the abnormal returns of the share repurchases that are motivated by undervaluation of shares are larger than have been documented for these US market where managers are not legally required to disclose the motives for the share repurchase. We also examine whether the first share buy back announcement in the industry or in a buy back program conveys more information than subsequent announcements but we do not find any significant results. The degree of similarity in cash flow and investment opportunities between the repurchasing firms and their industry counterparts, and the degree of competition within the industry significantly explain the variation in the observed industry (information transfer) effects.research.

Over the past few years, many firms have announced significant number of stock repurchases. The overwhelming reason given for stock repurchase announcements has been to reverse a trend of declining stock prices. Share buy backs have become an important area in financial research considering its strong implications for corporate policy. Indian companies have been permitted to buy back shares after the provisions of the Companies Act 1956 were suitably amended in 1999. Several studies have provided conclusive proof of signaling effect of stock repurchase and dividends announcements. This paper investigates and tests the following: 1) Signaling effect of a share buy - back and dividend announcements 2) The market reaction and share price behaviour to announcements of stock repurchases and dividends 3) Abnormal Returns across various repurchase levels. The analysis uses data of 22 firms in the BSE 500 index, which has announced stock repurchase option and dividends during the period 2002-2004. An examination of share price behaviour around stock repurchases and dividends prove the signaling effect of these announcements. Stock repurchase programs recorded a high cumulative abnormal return of 3.2 percent within two days of the event whereas dividend announcement recorded a high cumulative abnormal return of 2.1 percent within one day of the event. There is no significant difference in abnormal returns as result of various repurchase levels. These results imply the strong signaling power of stock repurchases announcements and that the market reacts more favourably to repurchases compared to dividend announcements.

The authors highlight four important "carry-away" points: the literature's focus on whether repurchases will (or should) drive out dividends is misplaced because it implicitly assumes that a single payout vehicle is optimal; extant empirical evidence is strongly incompatible with the notion that the primary purpose of dividends is to signal managers' views of future earnings to outside investors; over-confidence on the part of managers is potentially a first-order determinant of payout policy because it induces them to over-retain resources to invest in dubious projects and so behavioral biases may, in fact, turn out to be more important than agency costs in explaining why investors pressure firms to accelerate payouts; the influence of controlling stockholders on payout policy --- particularly in non-U.S. firms, where controlling stockholders are common --- is a promising area for future research.
